BY DOWNLOADING, INSTALLING OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS END USER LICENSE AGREEMENT (“AGREEMENT”). IF YOU DO NOT ACCEPT THE TERMS OF THE AGREEMENT, DO NOT INSTALL, COPY OR USE THE SOFTWARE. OTHERWISE, CHECK THE CHECK TO RECEIVE YOUR ACCEPTANCE OF THE TERMS. THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER IF YOU RESIDE IN THE UNITED STATES (SEE SECTION 11). This Agreement is made between HTC Corporation (or, depending on where you live, one of its affiliates) and you (the individual) for the HTC Sync Manager software included with this Agreement, including all associated storage media, documentation in printed or in electronic format, updates and software support services, unless such items are accompanied by other terms and conditions (collectively, the “Software”). You and HTC company collectively referred to as "We".

  1. GRANT OF LICENSE. During the term of this Agreement, and subject to your full compliance with all terms and conditions of the Agreement, HTC grants you a personal, non-exclusive, non-transferable license to install and use the Software in object code form for non-commercial purposes on a reasonable quantity of your property. personal computers, which you use to exchange data (information, files or content) with portable devices manufactured by HTC that contain HTC software.     g) use the Software for any commercial purposes;
    h) use the Software in violation of the rights of HTC, its affiliates or any third parties, or in any other manner inconsistent with all applicable laws;
    i) use the Software in any manner not permitted under this Agreement.
  3. RETENTION OF RIGHTS AND OWNERSHIP. HTC, its affiliates and its suppliers own the title, copyright and other intellectual property rights in the Software and reserve all rights not expressly granted to you under this Agreement. The Software is protected by copyright and other intellectual property laws and conventions.
  4. SUPPORT SERVICES. Because the Software is provided "as is", HTC may not provide support services for the Software. In the event that HTC provides updates, enhancements, add-ons, or any Internet-based service component to the Software after the date you received your initial copy of the Software (collectively, “Updates”), such Updates will remain subject to this Agreement. If HTC provides additional terms with an Update, those terms will apply only to that Update. HTC reserves the right to terminate your access to any online services provided or made available to you while using the Software. HTC, in its sole discretion, may release subsequent versions of the Software and may require you to obtain and use the most current version.
  5. AUTOMATIC UPDATES. HTC may automatically download firmware and software updates to your devices to update, enhance, protect, or further improve your devices and applications. For example, the hardware and software for your devices and the HTC software features described below are set by default to automatic connection via the Internet to network servers and exchange data with your computer and other devices without additional action on your part. By using the Software and your devices, you consent to the download of these updates and the operation of these features.
    a) Content Sync. Software settings may allow you to choose to automatically update content and other information (such as your music, photos, contacts, calendar, bookmarks, documents, etc.) on your devices when the devices are connected (wired or wireless connection) to your computer. By choosing to automatically update content and other information on your devices through the Software, you authorize HTC and its suppliers and content providers to download content and other information to your devices.
    b) Software updates. You agree that the Software may automatically contact Internet servers of HTC and its suppliers for the purpose of checking for Software Updates. You authorize HTC to notify you of the availability of Updates.   8.   9. RELEASE OF LIABILITY. You may not use the Software as part of any device or system where failure of the Software would result in a foreseeable risk of injury or death to any person.   11. GOVERNING LAW AND JURISDICTION FOR DISPUTE RESOLUTION. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
    a) North and South America . If you acquired the Software in North or South America, you have a contractual relationship with HTC America, Inc., and the interpretation of this Agreement shall be governed by the laws of the State of Washington applicable to claims for breach thereof, without regard to its conflict of law principles. All other claims, including claims brought under state consumer protection laws, unfair competition laws and tort laws, will be governed by the laws of the state in which you reside in the United States or, if you reside outside the United States (but in North or South America), ), the laws of your country of residence.     c) Australia, New Zealand and Asia (excluding Middle East). If you acquired the Software in Australia, New Zealand or Asia (excluding the Middle East), you have a contractual relationship with HTC Corporation, and the interpretation of this Agreement will be governed by the laws of Taiwan, which will apply to claims for breach thereof, without regard to principles of conflict of laws. All other claims, including claims brought under consumer protection laws, unfair competition laws and torts, will be governed by the laws of the country in which you reside. You irrevocably submit to the Taipei District Court as the court of first instance having jurisdiction over any dispute arising out of or in connection with this Agreement.
  12. LEGAL IMPORTANCE. This Agreement does not change your rights under the laws of your country of residence unless the laws of your country allow it to legally change your rights. You may have rights under the laws of the country in which you reside that are in addition to or different from the rights set forth in this Agreement.
  13. COMPLIANCE WITH THE LAW; EXPORT RULES. Sequencing:
